Running a GmbH, selling a company, or hiring a first employee in Germany runs into rules that are rarely explained in plain language. The posts under this tag do that explaining: what a rule does in everyday words first, the German term defined in one sentence, and the technical detail afterwards for the adviser. Topics include the filing calendar of a small company, e-invoicing obligations, what changes at the Handelsregister after a sale, how a share deal and an asset deal differ for the parties involved, and which contracts an owner should have in writing. Every post is written from the position of a founder who is neither a lawyer nor a tax adviser and works with both. That is also the limit: nothing under this tag is legal or tax advice, and each post names the point at which a Steuerberater or Anwalt has to take over before any binding step.
